Terms of Service

Please read these terms of service carefully before using the JobWise Pro platform, website, or mobile application. By accessing or using our services, you agree to be bound by these terms. If you do not agree, do not use our services.

1. Parties and Acceptance

These Terms of Service ("Agreement" or "Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Click Wise Design LLC DBA Jobwise Pro ("Company," "we," "us," or "our"), the owner and operator of the Jobwise Pro platform, website located at https://jobwisepro.com, and related mobile applications (collectively, the "Platform" or "Service").

By accessing, registering for, or using the Service in any manner, you affirm that you:

Are at least 18 years of age or the age of majority in your jurisdiction;
Have the legal authority to enter into this Agreement on your own behalf or on behalf of the business entity you represent;
Have read, understood, and agree to be bound by all terms herein;
Consent to the collection and use of your information as described in our Privacy Policy.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. The Service

Jobwise Pro is a business management platform designed to help service-based businesses manage their operations, including but not limited to customer relationship management (CRM), job scheduling, estimating, invoicing, billing, payment processing integrations, and related workflow tools.

Jobwise Pro may update, modify, enhance, or discontinue features of the Service at any time. We will endeavor to provide reasonable notice of material changes. Your continued use of the Service after any modification constitutes acceptance of the updated terms.

3. Registration and Accounts

3.1 Account Creation

To access most features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated at all times.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

Use a strong, unique password for your Jobwise Pro account;
Notify us immediately at info@jobwisepro.com of any unauthorized access or suspected breach;
Not share your login credentials with any unauthorized third party; and
Not allow multiple individuals to access the Service using a single account.

We will not be liable for any loss or damage resulting from your failure to comply with these security obligations.

3.3 Team Members and Employee Users

Depending on your subscription plan, you may invite additional users ("Team Members") to access your account. You are responsible for ensuring all Team Members comply with these Terms and for any actions they take within your account.

4. Subscriptions, Fees, and Billing

4.1 Subscription Plans

Jobwise Pro offers subscription-based access to the Service. Current pricing and plan details are available on our website at https://jobwisepro.com. We reserve the right to change pricing with at least fourteen (14) days' advance notice provided via email or in-app notification

4.2 Billing and Payment

By subscribing to a paid plan, you authorize us to charge your designated payment method on a recurring basis in accordance with your selected billing cycle (monthly or annual). All fees are billed in advance. A valid payment method is required for all paid accounts.

4.3 Free Trials

We may offer free trials at our discretion. If you do not cancel before the trial period ends, your account will automatically convert to a paid subscription and your payment method will be charged.

4.4 No Refunds

All fees are non-refundable except as required by applicable law or as explicitly stated in these Terms. There are no refunds or credits for partial periods of service, downgrades, or unused time remaining on an active subscription.

4.5 Automatic Renewal

Your subscription will automatically renew at the end of each billing cycle at the then-current rate unless you cancel prior to the renewal date. For monthly plans, cancellation must be made before the next billing date. For annual plans billed monthly, you are committing to a full 12-month term payable in monthly installments. Early cancellation will be treated as a notice of non-renewal, and all scheduled payments for the remainder of the term remain due.

4.6 Taxes

All fees are exclusive of applicable taxes, levies, or duties. You are solely responsible for paying any and all taxes associated with your use of the Service.

4.7 Late Payments and Collections

Overdue amounts may accrue interest at the maximum rate permitted by applicable law. You agree to reimburse us for all reasonable costs of collection, including attorneys' fees, in the event of non-payment.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

Use the Service in violation of any applicable federal, state, local, or international law or regulation;
Upload or transmit content that is unlawful, harmful, defamatory, obscene, fraudulent, or otherwise objectionable;
Infringe upon the intellectual property, privacy, or other rights of any third party;
Transmit unsolicited bulk communications, spam, or phishing material;
Introduce viruses, malware, or other malicious code into the Service;
Attempt to gain unauthorized access to any portion of the Service, its servers, or any related systems;
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service;
Use data mining, scraping, robots, or similar automated data collection or extraction methods;
Impersonate any person or entity or misrepresent your affiliation with any person or entity;
License, sublicense, sell, resell, transfer, or otherwise commercially exploit the Service without our written consent;
Interfere with or disrupt the integrity or performance of the Service or third-party data contained therein; or
Circumvent any usage restrictions, account limitations, or security measures implemented by Jobwise Pro.

We reserve the right to investigate violations and may, at our sole discretion, terminate or suspend access to the Service without prior notice for any conduct that violates these Terms or harms us, other users, or third parties.

6. User Content

6.1 Your Content

"User Content" means all data, text, files, information, images, and other materials you upload, submit, or otherwise make available through the Service. You retain ownership of your User Content. By submitting User Content, you grant Click Wise Design LLC DBA Jobwise Pro a non-exclusive, royalty-free, worldwide license to use, store, copy, process, and display your User Content solely as necessary to provide and improve the Service.

6.2 Your Responsibilities

You represent and warrant that:

You have all necessary rights to submit your User Content and to grant the license described above;
Your User Content does not violate any third-party rights or applicable law; and
Any personal information within your User Content was collected lawfully and with appropriate consent.

6.3 Content Standards

We reserve the right (but are not obligated) to review, remove, or refuse any User Content that violates these Terms or is otherwise objectionable in our sole discretion. We do not actively monitor User Content and are not responsible for any User Content submitted by you or other users.

6.4 Data Retention

Upon termination of your account, we may delete your User Content in accordance with our data retention policies and applicable law. You are responsible for maintaining your own backups of all important data at all times.

7. Intellectual Property

7.1 Ownership

The Service, including all software, code, design, text, graphics, logos, and other materials (excluding User Content), is the exclusive property of Click Wise Design LLC DBA Jobwise Pro and its licensors. All rights not expressly granted in these Terms are reserved.

7.2 License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes.

7.3 Restrictions

You may not copy, modify, distribute, sell, or lease any part of the Service or its underlying technology, nor may you reverse engineer or extract the source code of the Service, unless applicable law permits such activity or you have our express written permission.

7.4 Feedback

If you provide suggestions, ideas, or other feedback about the Service ("Feedback"), you grant us an irrevocable, perpetual, royalty-free, worldwide license to use and incorporate that Feedback into the Service or our other products and services without any obligation or compensation to you.

8. Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference and available at https://jobwisepro.com/privacy. By using the Service, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy.

We take reasonable and appropriate technical and organizational measures to protect your data. However, no method of transmission over the internet or electronic storage is completely secure, and we cannot guarantee absolute security.

9. Third-Party Services and Integrations

The Service may integrate with or provide links to third-party services, applications, or platforms ("Third-Party Services"). These integrations are provided for your convenience. We do not endorse, control, or assume responsibility for any Third-Party Services. Your use of Third-Party Services is governed by those services' own terms and privacy policies.

You acknowledge that:

Third-Party Services may have separate fees, terms, and data practices;
We are not liable for any issues, losses, or damages arising from your use of Third-Party Services; and
Enabling a Third-Party integration may allow that service to access your Jobwise Pro data as necessary for the integration to function.

10. Mobile Application

Where a Jobwise Pro mobile application is available, the following additional terms apply:

The app is licensed to you, not sold, and may be subject to additional terms from the applicable app store (Apple App Store or Google Play Store);
Your wireless carrier's standard data and messaging rates may apply;
We are not responsible for any failure of the mobile app due to your device, operating system, or carrier; and
App availability and features may vary by device and operating system.

11. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF DEALING. WE DO NOT WARRANT THAT:

The Service will meet your specific requirements or expectations;
The Service will be uninterrupted, timely, secure, or error-free;
The results obtained from use of the Service will be accurate or reliable; or
Any errors or defects in the Service will be corrected.

Some jurisdictions do not allow the exclusion of implied warranties; in such cases, the above exclusions apply to the fullest extent permitted by applicable law.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CLICK WISE DESIGN LLC DBA JOBWISE PRO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) ONE HUNDRED U.S. DOLLARS ($100.00), OR (B) THE TOTAL AMOUNT PAID BY YOU TO JOBWISE PRO IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE FOREGOING LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN YOUR JURISDICTION.

13. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Click Wise Design LLC DBA Jobwise Pro and its officers, directors, employees, agents, affiliates, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

Your use of or access to the Service;
Your violation of these Terms;
Your violation of any applicable law or regulation;
Your User Content; or
Your violation of any third-party rights, including intellectual property or privacy rights.

We reserve the right to assume exclusive control of the defense of any matter subject to indemnification by you, at your expense, and you agree to cooperate with our defense of such claims.

14. Termination

14.1 Termination by You

You may cancel your account at any time by accessing the account billing section of your account settings or by contacting us at info@jobwisepro.com. Cancellation is effective at the end of your current billing cycle. Please refer to Section 4 for the effect of cancellation on your payment obligations.

14.2 Termination by Us

We reserve the right to suspend or terminate your access to the Service, with or without notice, if we reasonably believe that you have:

Violated any provision of these Terms;
Engaged in fraudulent, illegal, or harmful conduct;
Failed to pay any fees when due; or
Acted in a manner that poses a risk to us, other users, or the integrity of the Service.

14.3 Effect of Termination

Upon termination, your right to use the Service immediately ceases. Provisions of these Terms that by their nature should survive termination shall survive, including Sections 6, 7, 11, 12, 13, 15, 16, and 17.

15. Dispute Resolution and Arbitration

15.1 Informal Resolution

Before initiating any formal dispute, you agree to contact us at info@jobwisepro.com to attempt to resolve the matter informally. We will use good-faith efforts to resolve disputes within thirty (30) days of receiving written notice.

15.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by JAMS under its applicable rules, rather than in court, except as provided in Section 15.3.

The arbitration shall be conducted in English, and the arbitrator's award shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.

15.3 Exceptions

Either party may bring claims in small claims court if the claim qualifies. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction for infringement or misuse of intellectual property rights.

15.4 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALL DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST US.

15.5 Opt-Out

You may opt out of this arbitration agreement within thirty (30) days of first accepting these Terms by sending written notice to: Click Wise Design LLC DBA Jobwise Pro, 825 Watters Creek Blvd M290, Allen, TX 75013, Attn: Legal, or by email to info@jobwisepro.com. Your opt-out notice must include your name, account email address, and a clear statement that you wish to opt out of arbitration.

16. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Subject to the arbitration agreement in Section 15, the exclusive jurisdiction and venue for any legal action shall be the state or federal courts located in Collin County, Texas, and you consent to the personal jurisdiction of such courts.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements or policies incorporated by reference, constitute the entire agreement between you and Jobwise Pro with respect to the Service and supersede all prior agreements, understandings, or representations.

17.2 Amendments

We may update these Terms at any time. When we make material changes, we will notify you via email or in-app notification and update the "Effective Date" at the top of this document. Your continued use of the Service after such notice constitutes your acceptance of the updated Terms.

17.3 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

17.4 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Jobwise Pro.

17.5 Assignment

You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction, including in connection with a merger, acquisition, or sale of assets.

17.6 Force Majeure

We will not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, acts of God, war, terrorism, civil unrest, epidemic or pandemic, government action, or disruptions to internet infrastructure.

17.7 Notices

Notices to you will be provided via email to the address on your account or via in-app notification. Legal notices to us must be sent in writing to:

17.8 Language

These Terms were prepared in English. In the event of any conflict between the English version and any translation, the English version shall prevail.

17.9 Headings

Section headings are for convenience only and shall have no legal or contractual effect.

18. Text Messaging (SMS)

By providing your mobile phone number and creating an account, you consent to receive text messages from JobWise Pro, including account, transactional, and service notifications, and occasional product or promotional messages. Consent to receive marketing or promotional text messages is not a condition of purchasing or using the Service.

Message frequency varies based on your account activity. Message and data rates may apply according to your mobile carrier's plan. You may opt out of text messages at any time by replying STOP to any message, after which you will receive a single confirmation and no further texts. Reply HELP for assistance, or contact us at info@jobwisepro.com. Mobile carriers are not liable for delayed or undelivered messages.

Our use of the information you provide in connection with text messaging is governed by our Privacy Policy.
